Version 0.9 • 16 October 2026
1. Parties, Scope, and Acceptance
These Terms govern access to the Dispatcher Gate website, mobile applications, loadboard, dispatch tools, roadside marketplace, messaging, tracking, document management and related services (Platform). “Operator” means [EXACT LEGAL ENTITY NAME], doing business as Dispatcher Gate, at [BUSINESS ADDRESS]. By creating an account, clicking acceptance, or using the Platform, a user agrees to these Terms and applicable role-specific agreements. A representative accepting on behalf of an entity warrants authority to bind that entity.
2. Platform Role and Regulatory Status
Dispatcher Gate provides software, listings, communication and transaction-management functionality. The Platform does not itself transport vehicles, tow vehicles, provide locksmith services or perform roadside work unless a separately identified and duly authorized affiliate expressly contracts to do so. This description does not override applicable law: if Operator actually arranges regulated transportation for compensation, appropriate broker authority, bond/trust and records may be required before those activities begin. Operator must not rely on this clause to avoid regulatory obligations.
3. Eligibility and Verification
Individual roadside customers must create an account and verify their contact details before submitting a service request. Professional shippers, brokers, carriers, drivers and providers must provide accurate identity, business and authority details and obtain approval before restricted features are enabled. Operator may reverify credentials and suspend access pending review. Verification is not a guarantee of safety, insurance, performance or lawful status.
4. Accounts and Authorized Users
Users must maintain accurate information, safeguard credentials, use multifactor authentication when available, promptly report suspected compromise, and remain responsible for actions of their authorized users. No account sharing, impersonation, scraping, circumvention of access restrictions or use of another party’s data without authorization.
5. Marketplace Transactions
Listings and offers must be accurate. A shipment or service agreement arises between the identified parties when an offer is accepted and confirmed in the Platform. Unless expressly stated in a separate signed agreement, Operator is not a party to the underlying carriage or roadside-service contract. Users must review pricing, timing, cancellation and service requirements before acceptance.
6. Fees, Trials and Taxes
Business loadboard access is subscription-based only; no shipper-carrier commission or dispatch fee applies. Roadside retail requests may carry a separately disclosed proposed 10% platform processing fee, subject to final approval.
7. Acceptable Use and Data
No fraudulent listings, re-brokering without consent, false credentials, harassment, malware, automated harvesting, unauthorized location tracking, illegal price coordination, or copying confidential marketplace data. Users grant Operator a limited license to host, display and process their submissions solely to operate, secure and improve the Platform and comply with law.
8. Third Parties and Service Availability
Mapping, messaging, identity checks, VIN data, payment processing and telephony may be provided by third parties under their own terms. Features may be interrupted or inaccurate; Operator will use commercially reasonable efforts to maintain availability but does not guarantee uninterrupted service.
9. Claims and Disputes
The service provider and contracting customer are primarily responsible for service quality, transportation performance, vehicle condition, damage claims, applicable deductibles and agreed payments. Operator may investigate complaints and suspend accounts, but is not a substitute for a court, insurer or regulator.
10. Warranties, Liability and Consumer Rights
To the extent permitted by law, the Platform is provided “as is” and implied warranties are disclaimed. Any negotiated liability cap must be reviewed for enforceability and must not exclude liability that cannot legally be excluded, including statutory consumer rights, fraud, willful misconduct or gross negligence where prohibited. [COUNSEL TO INSERT VALID CAP AND CARVE-OUTS].
11. Termination, Changes and Governing Law
Operator may suspend accounts for security, legal noncompliance or material breach, with notice where practicable. Material changes will be communicated before becoming effective where required. Governing law, venue, dispute resolution and arbitration provisions are intentionally reserved for counsel selection: [STATE / FORUM / DISPUTE MECHANISM].

Updated Marketplace Business Model — October 2026
Platform Roles
Dispatcher Gate provides two separate technology marketplaces: (a) a business-to-business vehicle transportation loadboard where shippers and carriers independently post, search, communicate, negotiate, contract and settle payments; and (b) an on-demand roadside assistance marketplace connecting registered retail customers to independent service providers. The platform does not itself perform towing or transportation.
No Shipper/Carrier Transaction Fees
Dispatcher Gate earns subscription fees for business access to the auto-transport loadboard. It does not charge shippers or carriers commissions, dispatch fees, or transaction processing fees for their independently negotiated transportation transactions. It does not negotiate their rates, assign loads, or collect freight payments.
Roadside Processing Fee
For roadside assistance requests by retail customers, Dispatcher Gate may charge a separately disclosed platform processing fee, proposed at 10% of the applicable roadside service charge. The checkout screen must disclose the fee amount, fee basis, payer, taxes, and total before confirmation. No fee is due solely for browsing. The 10% figure is a proposed commercial term requiring approval before publication.
Regulatory Qualification
Descriptions of Dispatcher Gate as a technology marketplace reflect intended operations, not a legal conclusion that registration or licensing is unnecessary. Actual features and conduct must be reviewed under applicable federal and state laws.
