Version 0.9 • 16 October 2026
1. Membership and Authority
This Agreement applies to verified dealers, auction houses, fleet owners, licensed businesses and authorized brokers using Dispatcher Gate to post vehicle shipments. Each business warrants that it has authority to offer each vehicle for transportation and to bind its organization.
2. Accurate Loads
Each listing must include correct VIN or vehicle identifiers, year/make/model, condition and operability, pickup/delivery locations, dates, dimensions where relevant, access restrictions, keys and special handling requirements. Shipper must promptly correct errors and remove or mark a load assigned once booked.
3. Carrier Selection
Shipper independently evaluates carrier authority, insurance, safety record and suitability, and must not rely solely on Platform badges or third-party database results. Shipper must use licensed/authorized carriers as required by law.
4. Rate Confirmation
A confirmed dispatch must identify the contracting parties, vehicle, route, agreed compensation, timing, payment terms, cancellation charges and any special requirements. Changes require documented mutual approval.
5. Pickup, Delivery and eBOL
Shipper must make the vehicle available and disclose known damage or defects. Parties should document condition at pickup and delivery through photographs, timestamps, signatures and electronic bill of lading (eBOL). A digital signature does not waive rights that cannot lawfully be waived.
6. Payments and Claims
Shipper must pay undisputed freight charges when due under the agreed rate confirmation and applicable law. Damage disputes and freight-payment obligations are distinct but may not be separated in a way that violates mandatory law or an express negotiated agreement. Promptly provide evidence and cooperate in claim handling.
7. Brokerage and Compliance
If Shipper acts as a transportation broker, it warrants that it has any required FMCSA broker authority, financial security and recordkeeping systems. It will not present itself as a carrier unless authorized.
8. Membership Fees
Business subscription terms are proposed at $29.95 monthly after a 60-day trial, subject to the final signed order form, disclosure of renewal terms and applicable cancellation law.
9. Indemnification and Term
Each party is responsible for its own breach, unlawful conduct and negligent acts to the extent permitted by law. Termination does not erase accrued payment or evidence-retention obligations. [COUNSEL REVIEW].
