Version 0.9 • 16 October 2026
1. Independent Carrier Status
Carrier is an independent motor carrier, not an employee, agent or joint venture partner of Operator merely by using the Platform. Carrier alone controls lawful equipment, drivers, routes, hours and methods of transport, subject to agreed shipment requirements.
2. Authority and Safety
Carrier warrants active required USDOT/MC authority, registrations, safety compliance, qualified drivers, maintained vehicles, lawful operating practices and truthful credentials. Carrier must immediately disclose suspension, revocation, out-of-service orders or material safety events.
3. Insurance
Carrier must maintain legally required coverage and any additional limits stated in an accepted rate confirmation, including applicable auto liability and cargo coverage. Certificates do not amend policy terms or prove a loss is covered. Carrier must notify Operator and contracting shippers of cancellation, lapse or material changes.
4. Load Acceptance
Carrier must accept only loads it can lawfully and safely perform. Each accepted rate confirmation identifies payment, equipment, dates, origin, destination, vehicle and special handling. Carrier must not re-broker, subcontract or transfer a load without prior written consent of the contracting shipper and any legally required authority.
5. Driver Assignment and Tracking
Carrier may assign only approved, licensed and insured drivers where required. GPS sharing must be disclosed to drivers, restricted to authorized active-job participants, and ended or reduced after completion according to the privacy policy. Drivers must not interact with the app while driving unlawfully.
6. Condition Reports and eBOL
Carrier shall inspect vehicle condition, record photographs and exceptions, obtain pickup/delivery acknowledgments and preserve the signed eBOL or proof of delivery. Carrier must promptly notify shipper of damage, theft, delay or service exceptions.
7. Invoices, COD and Payment
Carrier shall invoice the party named in the rate confirmation, provide requested proof of delivery, and handle COD or other collected funds according to written instructions and applicable law. Platform payment records are not a promise that Operator will pay Carrier.
8. Claims and Cooperation
Carrier is responsible for loss or damage to the extent imposed by law and the governing carriage contract. Carrier must cooperate with timely claim investigation, provide records and notify its insurer. No contractual provision limits nonwaivable statutory rights.
9. Suspension and Audits
Operator may request updated credentials and restrict access for expired insurance, safety concerns, fraud or legal noncompliance. Carrier must keep its records accurate.
10. Separate Rate Confirmation
Each transport remains subject to a separate accepted dispatch/rate confirmation and any mandatory transportation law. [COUNSEL REVIEW OF CARMACK AND BROKER ISSUES].
